CONFIDENTIALITY AGREEMENT
The EDSA Group, Inc. ("EDSA") hereby grants and
you accept, under the terms and conditions of this Agreement, restricted access
to certain information described further below:
The information and
presentation materials that you will view are the intellectual property of The
EDSA Group, Inc. and may not be copied, reproduced, or duplicated. They are
provided to help you make a decision as to the quality of the materials included
in EDSA?s offering. It is further understood that all materials provided for
your review are Confidential Information. Confidential Information refers to all
of the information available on EDSA?s websites that is protected by password
access, including but not limited to booklets, marketing materials, presentation
aids, customers, educational lessons, business objectives and all other
information relating to The EDSA Group. It also refers to sample materials
provided by mail or e-mail. You acknowledge that printed and online EDSA
materials and the Confidential Information related thereto are commercially
valuable products and it is in EDSA's legitimate interest to protect such
information as confidential. The EDSA trademark is the property of The EDSA
Group, Inc.
Therefore, in consideration of EDSA granting access to the
Confidential Information and other good and valuable consideration, the
sufficiency of which is acknowledged, You agree that:
1. You, your
employees, and agents shall protect EDSA materials and the Confidential
Information from disclosure to unauthorized persons.
2. You will not,
without EDSA's prior written consent, disclose, reproduce or use at any time
prior to Your reaching a written license or training agreement with EDSA, any
Confidential Information.
3. Anything learned from the Confidential
Information will remain confidential and will not be used in designing or
assembling another presentation to be used in lieu of materials owned by The
EDSA Group, Inc..
4. In the event that an agreement is not reached, all
materials will be returned immediately and any materials or information
downloaded from a password-protected area of the EDSA websites or provided by
e-mail will be deleted from all computers, electronic devices, and/or systems
immediately upon expiration of your password.
5. Materials provided in
hard-copy will be returned within thirty (30) business days of its receipt.
6. This Agreement shall be effective when you choose ?I Agree? below,
and that the terms of this Agreement shall remain in full force and effect until
the Confidential Information is generally available to the public through no
fault of Yours.
7. This Agreement shall be binding upon You, Your heirs,
executors, administrators, and assigns, and shall inure to the benefit of EDSA,
its successors and assigns.
